1. Agreement

These Terms are an agreement between 504 Network L.L.C., a New Jersey limited liability company with its address at 1077 North Ave Unit #393, Elizabeth, NJ 07201, USA ("504 Network", "we"), and the business that installs or uses any of our apps ("merchant", "you"). By installing or using an app you accept these Terms, our Privacy Policy (https://apps.mctpwa.com/privacy) and the terms of the platform where you install it (for example Shopify's Terms of Service and API terms). If you do not agree, do not install the app.

2. The apps

We provide apps for e-commerce platforms. The app-specific terms in section 15 apply in addition to these general Terms; if they conflict, the app-specific terms prevail for that app. You must have an active store on the platform and use the apps for business purposes. You are responsible for your store, your content and the people who use the app on your behalf.

3. Plans, billing and trials

• Plans, prices, limits and any free trial are shown in the app listing and inside the app. Charges are billed by the platform (for Shopify apps, through Shopify's app billing, every 30 days) and appear on your platform invoice.
• Free plans are free. Paid plans renew automatically every billing period until you cancel.
• No overage charges and no automatic upgrades. When you reach a plan limit, the app pauses or limits the affected feature and tells you; you choose whether to change plans.
• You can upgrade, downgrade or cancel at any time from the app's plans page or by uninstalling. Proration and refunds follow the platform's billing rules; except where required by law, we do not give refunds for partial periods.
• We may change prices with at least 30 days' notice in the app or by email. Changes do not affect a period already paid.
• Prices do not include taxes that the platform may add.

4. Acceptable use

You will not use the apps to break the law or the platform's policies; to process content you have no right to use; to deceive buyers; to attempt to access other stores' data, bypass limits or security, or overload the service; or to resell or sublicense the apps without our written permission.

5. Third-party services

The apps work with the platform and may use third-party services listed in our Privacy Policy (for example Groq for AI features) or services you connect yourself (for example your own WhatsApp Business account). Those services are governed by their own terms; we are not responsible for their availability or actions.

6. AI features

Where an app uses AI, results are generated automatically and may be inaccurate or incomplete. You are responsible for reviewing them before relying on them.

7. Intellectual property

We own the apps, their software and our brands. We grant you a limited, non-exclusive, non-transferable, revocable license to use the apps in your store while you are subscribed. You keep all rights to your content and data; you grant us a limited license to process them only to provide the apps. If you send us feedback, we may use it without obligation.

8. Privacy and data

We process data as described in our Privacy Policy. Where we process buyer personal data on your behalf, we do so as your processor/service provider, only on your instructions, and you are responsible for having a valid legal basis and for informing your buyers.

10. Availability and changes to the apps

We make reasonable efforts to keep the apps available (persistent queues, retries and recovery after failures), but the apps depend on the platform, our hosting provider and other services, and may be interrupted for maintenance or reasons outside our control. We may improve or change features; if we remove a core paid feature, we will give reasonable notice.

11. Disclaimer

To the maximum extent permitted by law, the apps are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, sales or data; and (b) our total liability for all claims related to the apps is limited to the amount you paid us for the app giving rise to the claim in the 3 months before the claim. Some jurisdictions do not allow these limitations, so they apply only as far as the law allows.

13. Indemnity

You will defend and indemnify 504 Network against third-party claims arising from your store, your content, your instructions to the app or your breach of these Terms or the law.

14. Term and termination

These Terms apply while any of our apps is installed in your store. You may stop at any time by uninstalling. We may suspend or terminate access if you breach these Terms or the platform's policies, or if required by law or by the platform. After uninstall, your data is deleted as described in the Privacy Policy. Sections 7, 11, 12, 13 and 16 survive termination.

15. App-specific terms

504 AI Translate

• What it does: translates your store content with AI and publishes the translations through Shopify's Translations API.
• Translation quality: machine translations can contain errors. Review them, especially legal, medical, safety or regulatory text. We do not guarantee accuracy or fitness for a particular purpose.
• Fair use: each plan includes a monthly limit of AI processing and full re-translations. When it is reached, AI translation pauses until the next month; we never charge extra or upgrade you automatically.
• Your content: you must have the right to translate the content of your store. Translations are saved in your store and remain yours after you uninstall.
• Availability: translation depends on Shopify and on our AI provider. If the provider is busy or reaches a usage limit, pending translations wait in a queue and resume later.

16. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in New Jersey, and both parties consent to their jurisdiction. Mandatory consumer-protection rules of your country apply where they cannot be waived.

17. General

If a provision is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets. These Terms, the Privacy Policy and the platform's terms are the entire agreement about the apps. We may update these Terms by posting a new version here; material changes will be notified in the app or by email at least 15 days before they take effect.

1. Acuerdo

2. Las apps

Ofrecemos apps para plataformas de comercio electrónico. Los términos por app de la sección 15 se suman a estos Términos generales; si se contradicen, prevalecen los de la app. Necesitas una tienda activa en la plataforma y usar las apps con fines comerciales. Eres responsable de tu tienda, tu contenido y las personas que usan la app en tu nombre.

3. Planes, cobros y pruebas

• Los planes, precios, límites y pruebas gratis se muestran en la ficha y dentro de la app. Los cobra la plataforma (en las apps de Shopify, mediante la facturación de apps de Shopify, cada 30 días) y aparecen en tu factura de la plataforma.
• Los planes gratis son gratis. Los planes de pago se renuevan automáticamente cada período hasta que canceles.
• Sin cargos por excedente ni subidas automáticas de plan. Al llegar a un límite, la app pausa o limita la función y te avisa; tú decides si cambias de plan.
• Puedes subir, bajar o cancelar en cualquier momento desde la página de planes de la app o desinstalando. El prorrateo y los reembolsos siguen las reglas de facturación de la plataforma; salvo que la ley lo exija, no reembolsamos períodos parciales.
• Podemos cambiar los precios con al menos 30 días de aviso en la app o por email. Los cambios no afectan un período ya pagado.
• Los precios no incluyen los impuestos que pueda agregar la plataforma.

4. Uso aceptable

No usarás las apps para infringir la ley o las políticas de la plataforma; tratar contenido que no tienes derecho a usar; engañar a compradores; intentar acceder a datos de otras tiendas, saltarte límites o la seguridad, o sobrecargar el servicio; ni revender o sublicenciar las apps sin nuestro permiso escrito.

5. Servicios de terceros

Las apps funcionan con la plataforma y pueden usar servicios de terceros indicados en la Política de Privacidad (por ejemplo Groq para funciones de IA) o servicios que conectas tú (por ejemplo tu propia cuenta de WhatsApp Business). Esos servicios se rigen por sus propios términos; no respondemos por su disponibilidad o actuación.

6. Funciones de IA

Cuando una app usa IA, los resultados se generan automáticamente y pueden ser inexactos o incompletos. Debes revisarlos antes de confiar en ellos.

7. Propiedad intelectual

Las apps, su software y nuestras marcas son nuestros. Te damos una licencia limitada, no exclusiva, intransferible y revocable para usar las apps en tu tienda mientras estés suscrito. Conservas todos los derechos sobre tu contenido y tus datos; nos das una licencia limitada para tratarlos solo para prestar las apps. Si nos envías sugerencias, podemos usarlas sin obligación.

8. Privacidad y datos

Tratamos los datos según la Política de Privacidad. Cuando tratamos datos personales de compradores por cuenta tuya, lo hacemos como encargado / proveedor de servicio, solo según tus instrucciones, y tú eres responsable de tener una base legal válida y de informar a tus compradores.

10. Disponibilidad y cambios en las apps

Hacemos esfuerzos razonables para mantener las apps disponibles (colas persistentes, reintentos y recuperación tras fallos), pero dependen de la plataforma, de nuestro hosting y de otros servicios, y pueden interrumpirse por mantenimiento o causas ajenas. Podemos mejorar o cambiar funciones; si quitamos una función de pago principal, avisaremos con antelación razonable.

11. Exención de garantías

En la máxima medida que permita la ley, las apps se ofrecen «tal cual» y «según disponibilidad», sin garantías de ningún tipo, expresas o implícitas, incluidas las de comerciabilidad, idoneidad para un fin concreto y no infracción.

12. Limitación de responsabilidad

En la máxima medida que permita la ley: (a) no respondemos por daños indirectos, incidentales, especiales, consecuentes o punitivos, ni por lucro cesante, pérdida de ingresos, ventas o datos; y (b) nuestra responsabilidad total por todos los reclamos relacionados con las apps se limita a lo que nos pagaste por la app que origina el reclamo en los 3 meses anteriores. Algunas jurisdicciones no permiten estas limitaciones; se aplican solo hasta donde la ley lo permita.

13. Indemnización

Defenderás e indemnizarás a 504 Network frente a reclamos de terceros derivados de tu tienda, tu contenido, tus instrucciones a la app o tu incumplimiento de estos Términos o de la ley.

14. Duración y terminación

Estos Términos aplican mientras alguna de nuestras apps esté instalada en tu tienda. Puedes terminar en cualquier momento desinstalando. Podemos suspender o terminar el acceso si incumples estos Términos o las políticas de la plataforma, o si lo exige la ley o la plataforma. Tras desinstalar, tus datos se borran según la Política de Privacidad. Las secciones 7, 11, 12, 13 y 16 siguen vigentes después de terminar.

15. Términos por app

504 Traductor IA

• Qué hace: traduce el contenido de tu tienda con IA y publica las traducciones mediante la API de traducciones de Shopify.
• Calidad: las traducciones automáticas pueden tener errores. Revísalas, sobre todo textos legales, médicos, de seguridad o regulatorios. No garantizamos su exactitud ni que sirvan para un fin concreto.
• Uso justo: cada plan incluye un límite mensual de procesamiento con IA y de traducciones completas. Al alcanzarlo, la IA se pausa hasta el mes siguiente; nunca cobramos extra ni subimos tu plan automáticamente.
• Tu contenido: debes tener derecho a traducir el contenido de tu tienda. Las traducciones se guardan en tu tienda y siguen siendo tuyas al desinstalar.
• Disponibilidad: depende de Shopify y de nuestro proveedor de IA. Si el proveedor está saturado o llega a su límite, las traducciones pendientes esperan en cola y se reanudan después.

16. Ley aplicable y disputas

Estos Términos se rigen por las leyes del Estado de Nueva Jersey, Estados Unidos, sin considerar sus normas de conflicto de leyes. Cualquier disputa se presentará exclusivamente ante los tribunales estatales o federales ubicados en Nueva Jersey, y ambas partes aceptan su jurisdicción. Se aplican las normas imperativas de protección al consumidor de tu país cuando no puedan renunciarse.

17. Disposiciones generales

Si una cláusula no es exigible, el resto sigue vigente. No ejercer un derecho no implica renunciar a él.
